These Terms and Conditions (the “Agreement”) govern your access to and use of the TruWisely website, applications, services, and community (collectively, the “Platform”). TruWisely is owned and managed by ClarityAxis Technology, LLC (“ClarityAxis”). By accessing or using the Platform, you (“User”) acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must immediately cease use of the Platform.
1. Definitions
1.1 “TruWisely” refers to the platform owned and managed by ClarityAxis Technology, LLC, including its affiliates, successors, and assigns.
1.2 “ClarityAxis” refers to ClarityAxis Technology, LLC, the parent company and operator of TruWisely.
1.3 “User” refers to any individual or entity that accesses, browses, registers, or otherwise uses the Platform.
1.4 “Content” means all materials, text, graphics, data, information, software, and other items provided on or through the Platform.
1.5 “Professionals” means licensed real estate professionals, advisors, or service providers who access the Platform for purposes of engaging with Users subject to these Terms.
2. Eligibility
User represents and warrants that they are at least eighteen (18) years of age and possess the legal capacity to enter into binding agreements. If under 18, use is permitted only with the consent of a parent or legal guardian.
3. Account Registration
3.1 User may be required to create an account to access certain features of the Platform.
3.2 User agrees to provide accurate, current, and complete information and to maintain and promptly update such information.
3.3 User is responsible for maintaining the confidentiality of login credentials and shall be liable for all activities that occur under such account.
3.4 TruWisely/ClarityAxis reserves the right to suspend or terminate any account at its sole discretion for any breach of this Agreement.
4. Permissible Use
4.1 User shall not:
Harass, abuse, threaten, defame, or otherwise interfere with the rights of other Users.
Post or transmit false, misleading, or fraudulent information.
Engage in unauthorized solicitation, advertising, or promotion.
Violate any applicable law, regulation, or third-party right.
4.2 TruWisely/ClarityAxis reserves the right, but not the obligation, to monitor User activity and remove any content in violation of this Agreement.
5. Professional Participation
5.1 Professionals may participate in the Platform subject to TruWisely’s policies.
5.2 By registering with the Platform, User acknowledges and consents that Professionals may access certain User information and may contact User with guidance or resources related to real estate matters.
5.3 Professionals are expressly prohibited from direct solicitation or advertising inconsistent with TruWisely’s no-pressure, value-first guidelines.
6. Fees, Payments, and Refunds
6.1 Certain services, products, or subscriptions may be offered for a fee. By purchasing, User agrees to pay all applicable charges.
6.2 Unless otherwise stated, all fees are non-refundable.
6.3 TruWisely/ClarityAxis reserves the right to change pricing, introduce new fees, or modify billing terms at its sole discretion.
6.4 Any recurring subscription will automatically renew unless canceled prior to the renewal date.
7. Privacy
User acknowledges that use of the Platform is subject to TruWisely’s Privacy Policy, which governs the collection, use, and disclosure of personal information. By accepting this Agreement, User consents to the practices described therein.
8. Intellectual Property
8.1 All Content and materials on the Platform are the exclusive property of TruWisely/ClarityAxis or its licensors.
8.2 User is granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes only.
8.3 User shall not copy, reproduce, distribute, modify, or create derivative works without prior written authorization.
9. Disclaimers
9.1 The Platform and all Content are provided on an “AS IS” and “AS AVAILABLE” basis.
9.2 TruWisely/ClarityAxis expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.3 TruWisely/ClarityAxis does not guarantee the accuracy, completeness, or reliability of Content.
9.4 Nothing on the Platform constitutes legal, financial, or real estate advice. User assumes all risk associated with reliance on Content.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall TruWisely/ClarityAxis, its affiliates, directors, officers, employees, or agents be liable for:
Any indirect, incidental, special, consequential, exemplary, or punitive damages; or
Any loss of profits, data, goodwill, or other intangible losses, even if TruWisely/ClarityAxis has been advised of the possibility of such damages.
Total liability shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount paid by User to TruWisely/ClarityAxis in the preceding twelve (12) months.
11. Indemnification
User agrees to indemnify, defend, and hold harmless TruWisely/ClarityAxis and its affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of:
User’s use of the Platform,
User’s violation of this Agreement, or
User’s interaction with other Users or Professionals.
12. Modification of Services
TruWisely/ClarityAxis reserves the right to modify, suspend, or discontinue the Platform, or any part thereof, at any time with or without notice. TruWisely/ClarityAxis shall not be liable to User or any third party for any such modification or discontinuance.
13. Termination
TruWisely/ClarityAxis may suspend or terminate User’s access to the Platform immediately and without prior notice if it determines, in its sole discretion, that User has violated this Agreement. All provisions that by their nature should survive termination shall so survive, including but not limited to intellectual property, indemnification, disclaimers, and limitations of liability.
14. Governing Law and Dispute Resolution
14.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles.
14.2 Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved by binding arbitration administered by [Insert Arbitration Body] in accordance with its rules.
14.3 The parties waive any right to a jury trial or to participate in a class action.
14.4 Judgment on the arbitration award may be entered in any court of competent jurisdiction.
15. Force Majeure
TruWisely/ClarityAxis shall not be responsible for any delay or failure to perform resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, labor disputes, internet or power outages, or governmental actions.
16. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
This Agreement constitutes the entire agreement between User and TruWisely/ClarityAxis with respect to the Platform and supersedes all prior or contemporaneous understandings, whether written or oral.
18. Amendments
TruWisely/ClarityAxis reserves the sole right to amend, modify, or revise this Agreement at any time. Changes shall be effective immediately upon posting. Continued use of the Platform constitutes acceptance of any modifications.
